Our Corporate and Commercial Practice is geared towards providing pertinent legal advice and support in relation to each stage of the corporate lifecycle, whether it is for business owners, corporations or investors.

There are 3 main aspects to what our Corporate and Commercial Practice covers.

Firstly, governance and compliance. We provide basic corporate secretarial services and guidance on regulatory compliance issues ranging from the usual concerns, such as corporate compliance and data protection and privacy, to industry-specific concerns.

Secondly, corporate advisory. We share insights on how shareholder and investor relations can be managed and we are always keen to explore new opportunities with our clients to realise their commercial objectives- such as fund-raising exercises and joint ventures.

Thirdly, commercial transactional support. We advise on and prepare a variety of commercial documents to suit our clients’ specific business needs, including service agreements, licensing agreements, distribution agreements, supplier agreements, website policies and non-disclosure agreements.

In the course of working with our clients, we take an active interest in learning not just about their commercial aspirations but the history and personalities involved. This in-depth understanding is what enables us to provide effective, custom-made legal solutions that see us becoming a part of our clients’ success as much as they are a part of ours.

Some of our notable transactions include:

• Advised the Singapore subsidiary of an EU multinational corporation on competition law implications arising out of its proposed business expansion plans, and advised on the implementation of corporate policies, including privacy, data protection, corruption, and anti-bribery, in line with global best practices.

• Advised a South East Asia based low cost carrier on the execution of its global marketing campaign, specifically in relation to issues concerning the collection and processing of human biological material and personal data.

• Advising on a franchise agreement in relation to a corporate training business.

• Advising on and drafting various corporate legal documents such as franchise agreements, employment agreements, licensing agreements, distributorship agreements, and services agreements.
