What defines our M&A Practice is the ability to offer a multi-disciplinary approach that is reflective of the nature of M&A deals and an appreciation of the human element that lies at the heart of such deals.

With regard to our multi-disciplinary approach, we are adept at helping clients identify their relevant areas of concern (both legal and commercial) – from the common ones such as tax, employment and intellectual property to industry-specific considerations.

Tapping on expertise drawn from both within the firm and from our collaborations with professional third parties, we are able to come up with solutions to these areas of concerns and interweave them into a comprehensive and cohesive strategy that clients can take to the negotiation table.

As for the human element, we are sensitive to how culture and “personality fit” can significantly influence the success of a deal. That is why we make it a point to find out more about the backgrounds of the parties to a deal (and that of their respective stakeholders) so that this intangible consideration is taken into account when fashioning our advice.

At the end of the day, we are not here to just make deals happen, we are here to help make sure they last.

Some of our notable deals include:

• Advised two Singapore-based exhibition organizers on the sale of several of their shows to international exhibition organizers.

• Advised and acted for a majority shareholder of a multi-national professional services firm valued at $45million on the sale of his shares to a Japanese listed company.

• Advised and acted for the subsidiary of a Hong Kong-listed company on their cross-border joint-venture into the Vietnamese logistics industry

• Advised Fund Singapore on the funding of $1,165,000 equity investment for ClearBridge BioMedics Pte. Ltd., a Singapore Bio-Medical company. ClearBridge BioMedics Pte Ltd is now a catalist board listed entity.

• Acted for a local company that was being sold to a foreign fund for about $40 million. The deal involved significant tax, financial and corporate elements that were intrinsically linked in the negotiation process.
